AGREEMENT TO TERMS

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Maxwell CPA Review, LLC ("Company," “we," “us," or “our”), concerning your access to and use of the https://www.maxwellcpareview.com website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”). We are registered in Florida, United States, and have our registered office at 915 Liberty Lane, Auburndale, FL 33823. You agree that by accessing the Site and/or purchasing our courses, you have read, understood, and agreed to be bound by all of these Terms of Use.

IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

COURSE OFFERINGS AND PRICING

We offer the following courses:

  • FAR Exam Review Course
  • REG Exam Review Course
  • AUDIT Exam Review Course
  • Business Analysis and Reporting (BAR) Discipline Exam Review Course
  • Information Systems and Controls (ISC) Discipline Exam Review Course
  • Tax Compliance and Planning (TCP) Discipline Exam Review Course

Subscription Option: Access to all courses is available for a subscription price of $49 per month. All transactions are conducted in U.S. Dollars (USD). The subscription automatically renews each month until canceled by you. You may cancel your subscription at any time by visiting "My Account" > "Billing" and clicking "Cancel Subscription." No notice period is required to cancel the subscription. Upon cancellation, you will retain access to the courses through the period you have paid for.

One-Time Purchase Option: Alternatively, you may purchase access to all courses for a one-time payment of $799, granting you access for two years. After two years, this access can be extended for an additional two years for free by emailing [email protected] with the subject line "Renew CPA Course Access." The maximum course access is therefore four years.

REFUND POLICY

Refunds are not guaranteed and will be handled on a case-by-case basis.

  • Subscription Refunds: If you request a refund within the first five (5) days of your subscription period, your case will most likely be refunded.
  • One-Time Purchase Refunds: For one-time purchases, the percentage of the course used will be considered when determining eligibility for a full or partial refund.

Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Terms of Use, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms of Use to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Site after the date such revised Terms of Use are posted.

The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Site is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Site.


INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, international copyright laws, and international conventions.

The Content and the Marks are provided on the Site “AS IS” for your information and personal use only. Except as expressly provided in these Terms of Use, no part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

Provided that you are eligible to use the Site, you are granted a limited license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you in and to the Site, the Content, and the Marks.

USER REPRESENTATIONS

By using the Site, you represent and warrant that:

  1. All registration information you submit will be true, accurate, current, and complete.
  2. You will maintain the accuracy of such information and promptly update such registration information as necessary.
  3. You have the legal capacity and you agree to comply with these Terms of Use.
  4. You are not a minor in the jurisdiction in which you reside.
  5. You will not access the Site through automated or non-human means, whether through a bot, script, or otherwise.
  6. You will not use the Site for any illegal or unauthorized purpose.
  7. Your use of the Site will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof).

USER REGISTRATION

You may be required to register with the Site. You agree to keep your password confidential and are responsible for all use of your account and password.

  • Account Sharing: Users are not allowed to share their login credentials with others.
  • Non-Transferability: Subscriptions and access rights are non-transferable to any other person or entity.

We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

ACCESS AND CONTENT UPDATES

  • Access to Updated Content: Users will have access to new or updated course materials during their subscription period or access term.
  • Technical Requirements: Users are responsible for ensuring they have the necessary technology to access the Site and courses.

PROHIBITED ACTIVITIES

You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Site, you agree not to:

  1. Systematically retrieve data or other content from the Site to create or compile a collection or database without written permission from us.
  2. Trick, defraud, or mislead us and other users.
  3. Circumvent, disable, or interfere with security-related features of the Site.
  4. Disparage, tarnish, or otherwise harm us and/or the Site.
  5. Use information obtained from the Site to harass, abuse, or harm another person.
  6. Make improper use of our support services or submit false reports.
  7. Use the Site in a manner inconsistent with any applicable laws or regulations.
  8. Engage in unauthorized framing of or linking to the Site.
  9. Upload or transmit viruses or other harmful material.
  10. Engage in any automated use of the system without authorization.
  11. Delete copyright or other proprietary rights notices from any Content.
  12. Attempt to impersonate another user or person.
  13. Upload or transmit material that acts as a passive or active information collection mechanism.
  14. Interfere with or disrupt the Site or networks connected to the Site.
  15. Harass, annoy, intimidate, or threaten any of our employees or agents.
  16. Attempt to bypass measures designed to prevent or restrict access to the Site.
  17. Copy or adapt the Site’s software.
  18. Decipher, decompile, disassemble, or reverse engineer any software on the Site.
  19. Use unauthorized scripts or software.
  20. Use a buying agent or purchasing agent to make purchases on the Site.
  21. Make any unauthorized use of the Site.
  22. Use the Site to compete with us or for any revenue-generating endeavor.
  23. Use the Site to advertise or offer to sell goods and services.
  24. Sell or otherwise transfer your profile.
  25. Solicit or disclose any questions or answers on any CPA examination.

DISCLAIMER

Educational Purpose Only: The courses and materials provided are for educational purposes only. We do not guarantee that you will pass any exams by using our courses.

Professional Advice: The courses do not constitute professional accounting or legal advice.

LIMITATION OF LIABILITY (FORCE MAJEURE)

We shall not be held responsible for any failure to perform our obligations under these Terms of Use if such failure is caused by events beyond our reasonable control, including but not limited to natural disasters, war, civil unrest, technical failures, or other unforeseen events.

MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Site. We also reserve the right to modify or discontinue all or part of the Site without notice at any time.

We are not liable to you or any third party for any modification, price change, suspension, or discontinuance of the Site.

GOVERNING LAW

These Terms of Use and your use of the Site are governed by and construed in accordance with the laws of the State of Florida, applicable to agreements made and to be entirely performed within the State of Florida, without regard to its conflict of law principles.

DISPUTE RESOLUTION

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each a "Dispute"), you and the Company agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one party to the other.

Binding Arbitration

If informal negotiations fail, you agree that all Disputes will be finally and exclusively resolved through binding arbitration. The arbitration shall be conducted in Polk County, Florida, under the rules of the American Arbitration Association ("AAA"). You understand that by agreeing to this, you waive the right to a jury trial or to participate in a class action.

Exceptions to Arbitration

The parties agree that the following Disputes are not subject to the above provisions concerning binding arbitration:

  • Any Disputes seeking to enforce or protect intellectual property rights.
  • Any claim for injunctive relief.

ENTIRE AGREEMENT

These Terms of Use, along with any policies or operating rules posted by us on the Site, constitute the entire agreement and understanding between you and us.

SEVERABILITY

If any provision of these Terms of Use is held to be unlawful, void, or unenforceable, that provision is deemed severable from these Terms of Use and does not affect the validity and enforceability of any remaining provisions.
